Consulting Services Terms and Conditions

Effective Date: September 6, 2026

These Consulting Services Terms and Conditions (“Terms”) govern services provided by Verityx CS LLC (“Verityx CS,” “we,” “us” or “our”) to the person or organization purchasing or receiving services (“Client,” “you” or “your”).

These Terms apply to introductory calls, strategy sessions, operational assessments, consulting projects and related deliverables. By booking or purchasing a service, typing your name to acknowledge these Terms, signing a proposal or Statement of Work, or otherwise authorizing Verityx CS to begin work, you agree to these Terms.

1. Services and Scope

Verityx CS provides strategic consulting related to Customer Success, customer retention, churn, customer value, revenue operations, post-sales processes, data practices and related business operations.

The specific scope, duration, price and deliverables for a service will be described in the applicable:

  • Booking page

  • Service description

  • Proposal

  • Statement of Work

  • Order confirmation

  • Other written agreement between Verityx CS and the Client

Services and deliverables not expressly included in the applicable description or agreement are outside the engagement’s scope.

If there is a conflict between these Terms and a signed proposal or Statement of Work, the signed proposal or Statement of Work will control. The applicable service description will control over these Terms only regarding service-specific scope, scheduling, deliverables and pricing.

2. Client Responsibilities

The Client agrees to:

  • Provide accurate, complete and timely information

  • Identify relevant business objectives, constraints and stakeholders

  • Provide reasonable access to personnel, documents, systems and data needed for the agreed service

  • Ensure that it has the authority to share all information provided to Verityx CS

  • Review materials, answer questions and provide decisions within reasonably requested timeframes

  • Notify Verityx CS of any legal, contractual, security or regulatory restrictions affecting the engagement

  • Avoid providing protected health information, payment-card data, Social Security numbers, passwords or other highly sensitive information unless Verityx CS has expressly agreed in writing to receive it through an approved method

Verityx CS may rely on information supplied by the Client without independently auditing or verifying it. Incomplete, inaccurate or delayed information may affect the timing, scope and reliability of recommendations.

3. Nature of Recommendations

Verityx CS provides strategic analysis, observations, frameworks and recommendations based on professional experience, available information and business judgment.

Recommendations are advisory and non-binding. The Client retains responsibility for:

  • Business and operational decisions

  • Implementation

  • Financial decisions

  • Employment and personnel decisions

  • Regulatory and legal compliance

  • Results arising from the use of any recommendation

Verityx CS does not provide legal, tax, accounting, investment or employment-law advice. Clients should consult qualified professionals when those matters are involved.

4. No Guarantee of Results

Verityx CS does not guarantee any particular financial, operational, customer-retention, revenue or business result.

Results may depend on factors outside Verityx CS’s control, including the accuracy of Client information, implementation quality, employee participation, market conditions, customer behavior, leadership decisions and third-party systems.

5. Confidentiality

Each party may receive nonpublic business, financial, operational, technical or strategic information from the other.

Each party agrees to:

  • Use confidential information only for the engagement

  • Limit access to people and service providers who reasonably need it

  • Apply reasonable safeguards against unauthorized access or disclosure

  • Avoid disclosing confidential information to third parties except as permitted by these Terms or required by law

Confidential information does not include information that:

  • Is publicly available through no breach of these Terms

  • Was already lawfully known to the receiving party

  • Is received lawfully from another source without confidentiality restrictions

  • Is independently developed without using the other party’s confidential information

Verityx CS may use aggregated or de-identified insights derived from engagements to improve its services, frameworks and general business knowledge, provided the information does not reasonably identify the Client, its customers or its employees.

6. Artificial Intelligence Use

Verityx CS may use artificial intelligence-enabled tools to assist with meeting notes, research, analysis, organization and drafting. Verityx CS will review all material outputs and remains responsible for its final recommendations and professional judgment.

Verityx CS will use reasonable safeguards to protect Client Confidential Information and will not knowingly submit it for training public AI models. Participants will be notified before AI-assisted recording or transcription begins, and consent will be obtained when required by law. Additional information is provided in the Verityx CS Privacy Policy.

7. Marketing and Publicity

Verityx CS may use aggregated or anonymized descriptions of client situations, challenges, approaches and results for educational, portfolio or marketing purposes without additional permission, provided the information does not identify or reasonably allow others to identify the Client, its employees or its customers. Verityx CS will not disclose Client Confidential Information.

Use of the Client’s name, logo, trademarks or identifiable testimonial requires the Client’s prior written approval. Verityx CS will comply with any reasonable brand guidelines provided by the Client, and the Client may withdraw this permission for future use by providing written notice.

8. Intellectual Property

The Client retains ownership of information, data, documents and materials it provides.

Verityx CS retains ownership of its pre-existing and independently developed:

  • Frameworks

  • Templates

  • Methodologies

  • Processes

  • Models

  • Checklists

  • Training materials

  • General knowledge and know-how

After full payment, the Client may use final engagement deliverables internally for its own business purposes. Unless otherwise agreed in writing, the Client may not resell, publish, distribute, license or commercially exploit Verityx CS materials or deliverables.

The Client may share deliverables internally and with its professional advisers, provided they are informed of any applicable confidentiality and use restrictions.

9. Fees, Payment and Refunds

Fees are due according to the applicable booking page, invoice, proposal or Statement of Work.

Unless otherwise stated:

  • Strategy sessions require payment in full when booked.

  • Project payments follow the schedule in the applicable proposal or Statement of Work.

  • Verityx CS is not required to begin or continue services while payment is overdue.

  • Work outside the agreed scope may require additional fees and written authorization.

Payments are nonrefundable once the applicable service has begun, except as expressly stated in these Terms or required by law.

For consulting projects that end before completion, the Client remains responsible for completed work, time already reserved, approved expenses and noncancelable commitments. Any remaining prepaid amount that has not been earned or committed will be handled according to the applicable proposal or Statement of Work.

If Verityx CS cancels a service and cannot reasonably reschedule it, the Client will receive a refund of the amount paid for the undelivered service.

10. Scheduling, Delays, Rescheduling, Cancellations and Unused Time

Both parties agree to make reasonable efforts to meet agreed schedules.

Verityx CS is not responsible for delays caused by late Client information, unavailable stakeholders, access restrictions, third-party systems or circumstances outside Verityx CS’s reasonable control.

Material Client delays may require the schedule, price or scope to be revised.

A booking reserves Verityx CS’s time and may also include preparation, professional analysis and the deliverables described on the booking page. The fee is based on the service provided and time reserved, not solely on the number of minutes used during the meeting.

  • Rescheduling requests made at least 48 hours before the session may be accommodated once without an additional fee.

  • Cancellations made less than 48 hours before the session are nonrefundable.

  • No-shows are nonrefundable and will not be rescheduled.

  • Client lateness does not extend the scheduled ending time.

  • A session that ends early because the objectives have been addressed or at the Client’s request does not qualify for a full or partial refund.

  • If more than 30 minutes remain and Verityx CS determines that additional working time would be useful, the remaining time may be scheduled as one continuation session, subject to availability.

  • Unused time has no cash value, may not be transferred to another person or service and must be used within 30 days unless otherwise agreed in writing.

  • If Verityx CS must end a session early, or a significant technical problem prevents completion, Verityx CS will provide a reasonable continuation session for the affected time. If the session cannot reasonably be rescheduled, the Client will receive an appropriate refund.

  • If Verityx CS cancels a session before it begins, the Client may choose to reschedule or receive a full refund.

11. Limitation of Liability

To the fullest extent permitted by law, Verityx CS will not be liable for indirect, incidental, special, punitive or consequential damages, including lost profits, lost revenue, lost opportunities or loss of data.

Verityx CS’s total liability arising from a service will not exceed the amount the Client paid Verityx CS for the specific service giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

12. Professional Conduct and Right to Refuse Service

Verityx CS may refuse or discontinue services involving unlawful, deceptive, abusive, discriminatory or unethical conduct.

Either party may end an engagement if the other materially breaches these Terms and does not correct the breach within a reasonable period after receiving notice. Payment obligations for completed work and noncancelable commitments will survive termination.

13. Electronic Acceptance

Typing a name, selecting an acknowledgment box, completing payment, signing electronically or otherwise clearly indicating acceptance may constitute an electronic signature and agreement to these Terms.

Verityx CS may retain the acceptance record, including the name entered, date, time, service purchased and version of the Terms accepted.

14. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any legal action arising from these Terms or the services will be brought in a court of competent jurisdiction located in Duval County, Florida, unless the parties agree to another dispute-resolution process in writing.

15. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

A party’s failure to enforce a provision does not waive its right to enforce that provision later.

Neither party may transfer an engagement or its obligations without the other party’s written consent, except in connection with a merger, acquisition or sale of substantially all relevant business assets.

These Terms, together with the applicable booking information, proposal or Statement of Work, constitute the agreement between the parties concerning the applicable service.

Service-Specific Terms

A. Free Introductory Calls

A free introductory call is intended to determine whether Verityx CS and the prospective Client are a potential fit.

Unless expressly agreed otherwise:

  • The call does not include a formal assessment, roadmap or written deliverable

  • Any preliminary observations are general and should not be treated as a complete analysis

  • Neither party is obligated to enter into a paid engagement

  • A paid consulting relationship begins only when the Client books and pays for a paid service or the parties enter into a separate written agreement

B. Strategy Sessions

Strategy sessions are focused, expert-led working sessions addressing the topic identified on the applicable booking page.

Unless the service description states otherwise:

  • The session is limited to the booked appointment time

  • Payment is required in full when booked

  • The engagement includes analysis, discussion and the deliverables expressly described on the booking page

  • Hands-on implementation, system configuration, continuing support and additional research are not included

  • Recommendations are based on information reasonably available before and during the session

  • Additional work requires a separate booking or written agreement

C. Consulting and Operational Projects

Projects involving multiple meetings, employee interviews, document review, system access, data analysis, operational assessments or custom deliverables require a separate proposal or Statement of Work unless the project is offered as a predefined service through a Verityx CS booking page.

For a predefined project, the booking page, service description, order confirmation and these Terms collectively define the engagement. Any work outside that defined scope requires written authorization and may result in additional fees or an adjusted timeline.

The proposal or Statement of Work should identify:

  • Scope and objectives

  • Deliverables

  • Timeline and milestones

  • Client dependencies

  • Interview participants

  • Systems and information to be reviewed

  • Fees and payment schedule

  • Revision limits

  • Data-handling requirements

  • Any project-specific cancellation or termination terms

Unless expressly included, a project does not include implementation, employee supervision, legal compliance review, continuous system monitoring or ongoing advisory support.

When employee or stakeholder interviews are included:

  • Interviews are intended to identify process, communication and operational themes

  • They are not formal employee-performance reviews or human-resources investigations

  • Findings may be summarized or aggregated

  • Complete anonymity cannot be guaranteed when facts, roles or circumstances make a participant identifiable

  • Verityx CS will not make employment decisions for the Client

  • The Client remains responsible for notifying participants and handling employment-related consequences appropriately

Changes to the agreed scope, number of interviews, systems reviewed, deliverables or timeline may require a written change authorization and additional fees.
